Welcome to agentcard.sh (the "Site"), operated by Tomorrowland Beta, LLC ("Company," "we," "us," or "our"). By accessing or using the Site and our services, you agree to be bound by these Terms of Use ("Terms"). If you do not agree, do not use the Site.

Acceptance of Terms

By creating an account, accessing, or using any part of the Site or our services (including the AgentCard MCP server, CLI tools, dashboard, and API), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. We may update these Terms from time to time. Your continued use of the Site after any changes constitutes acceptance of the revised Terms.

Description of Services

AgentCard provides virtual debit cards designed for use by AI agents. Our services include card issuance, MCP server integration, CLI tools, a web dashboard, and related APIs. Cards are single-use debit instruments funded by the cardholder and are debit cards.

Eligibility

You must be at least 18 years old and capable of forming a binding contract to use our services. By using the Site, you represent and warrant that you meet these requirements. Our services are available to users in the United States and other jurisdictions where Mastercard is accepted, subject to applicable laws.

Account Registration

To use certain features, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to notify us immediately of any unauthorized use of your account.

Acceptable Use

You agree not to:

  • Use the Site or services for any unlawful purpose or in violation of any applicable law or regulation
  • Attempt to gain unauthorized access to any part of the Site, other accounts, computer systems, or networks
  • Use the services to facilitate fraud, money laundering, or terrorist financing
  • Interfere with or disrupt the integrity or performance of the Site or services
  • Upload, transmit, or distribute any viruses, malware, or other harmful code
  • Reverse engineer, decompile, or disassemble any part of the Site or services
  • Use automated means (other than our provided APIs and MCP tools) to access the Site in a manner that exceeds reasonable use
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity

User Content

You may submit content through the Site, including but not limited to card names, labels, and support messages ("User Content"). You retain ownership of your User Content. By submitting User Content, you grant Tomorrowland Beta, LLC a non-exclusive, worldwide, royalty-free license to use, reproduce, and display such User Content solely as necessary to provide and improve the services.

You represent that you have the right to submit any User Content you provide and that such content does not violate any third-party rights or applicable laws.

Intellectual Property

The Site, its original content (excluding User Content), features, and functionality are owned by Tomorrowland Beta, LLC and are protected by copyright, trademark, and other intellectual property laws. The AgentCard name, logo, and all related marks are trademarks of Tomorrowland Beta, LLC.

Payment and Fees

Card funding and any applicable fees are processed through our payment provider, Stripe. By funding a card, you agree to pay all charges incurred. Cards are non-refundable once funded, except as required by applicable law or as stated in our refund policy. Unused card balances may be recovered by closing the card.

Third-Party Services

The Site may contain links to or integrations with third-party services (including Stripe for payment processing and Mastercard for card network services). We are not responsible for the content, privacy policies, or practices of third-party services. Your use of such services is governed by their respective terms.

Disclaimer of Warranties

THE SITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TOMORROWLAND BETA, LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SITE OR SERVICES; (B) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS AND/OR ANY PERSONAL INFORMATION STORED THEREIN; (C) ANY THIRD-PARTY CONDUCT OR CONTENT ON THE SITE.

Indemnification

You agree to indemnify, defend, and hold harmless Tomorrowland Beta, LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Site or services, your violation of these Terms, or your violation of any third-party rights.

Dispute Resolution

Any dispute arising out of or relating to these Terms or the Site shall first be attempted to be resolved through informal negotiation. You may contact us at support@agentcard.sh or by mail at 2844 Lyon St, Apt 204, San Francisco, California 94123 to initiate informal dispute resolution.

If a dispute cannot be resolved informally within 30 days, either party may initiate binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall be conducted in San Francisco, California. Each party shall bear its own costs in the arbitration.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in San Francisco County, California.

Termination

We may terminate or suspend your access to the Site and services immediately, without prior notice, for any reason, including if you breach these Terms. Upon termination, your right to use the Site ceases immediately. Any provisions of these Terms that by their nature should survive termination shall survive.

Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
